Canyam User Agreement
Welcome to Canyam. This Agreement is a contract between you and Dongguan Keyan Technology Co., Ltd. ("we", "us", or the "Company") regarding your use of Canyam services. Please read all terms of this Agreement carefully and use Canyam only after you fully understand and agree to them. If you object to any term of this Agreement, please stop using Canyam.
1. Definitions
- Canyam: refers to the mobile application owned and operated by Dongguan Keyan Technology Co., Ltd.
- User: refers to any natural person, legal person, or other organization that agrees to and complies with this Agreement, completes all registration procedures required by Canyam, is confirmed by Canyam, and holds a Canyam login account and password.
- User Information: refers to registration information submitted by users and transaction or usage information submitted by users when using Canyam services and known to Canyam.
2. Confirmation and Acceptance of the Agreement
- Before using Canyam, please carefully read this Agreement. When you click the "Agree" button or actually use Canyam, you are deemed to have carefully read, understood, and agreed to accept all terms of this Agreement, including any modifications made by Canyam from time to time, and you agree to be bound by them.
- We have the right to modify the terms of this Agreement when necessary. Once the terms change, the modified content will be displayed on important pages within Canyam. If you continue to use the services provided by Canyam, you will be deemed to have accepted the changes to the service terms.
3. Service Content
- We will provide users with corresponding services in accordance with this Agreement and relevant operating procedures, including but not limited to information search, business handling, social interaction, content sharing, and other functions. The specific service content shall be subject to the services actually provided by Canyam, and we have the right to adjust specific service content according to circumstances.
- Canyam only provides network services. Communication equipment and communication service fees related to network services shall be borne by users themselves.
4. Rules of Use
- True and accurate registration information: You guarantee that the identity information provided during registration is true, accurate, complete, and updated in a timely manner. If your information changes, you should update it promptly. If you provide any incorrect, false, outdated, or incomplete information, and we know or have reasonable grounds to suspect that such information is incorrect, false, outdated, or incomplete, we have the right to suspend or terminate your account and refuse all or part of your current or future use of the services.
- Account and password management: Your account and password are your unique identity credentials on Canyam. You should properly keep your account and password and must not transfer or lend them to others. If you find that your account has been illegally used by others, you should notify us immediately. Losses caused by disclosure of your account or password due to your own reasons shall be borne by you.
- Legal use: When using the network services provided by Canyam, you must comply with all applicable laws and regulations, as well as all network protocols, rules, and procedures related to network services. You must not engage in any illegal, non-compliant, or rights-infringing activity, including but not limited to:
- Publishing, transmitting, or storing computer code, files, scripts, or programs containing viruses, trojans, malware, or other harmful content.
- Sending information that violates laws, regulations, industry rules, public interests, or public morals.
- Using Canyam in any way that may adversely affect the normal operation of the Internet, or interfere with or damage the normal operation of Canyam servers and networks.
- Without authorization, using, copying, modifying, translating, distributing, selling, reselling, or developing the usage rights granted by Canyam, or imitating Canyam products and services for commercial purposes.
- Third-party services: Canyam may contain services provided by third parties or links to third-party websites. If you need to use such services, you should separately enter into service agreements with the service providers, pay the corresponding fees, and bear any related risks. We are not responsible for the content, security, privacy policies, or other matters of third-party services or websites.
5. User Privacy Protection
- We will follow the principles of legality, legitimacy, and necessity, use and retain users' personal information in accordance with laws, regulations, and/or agreements, properly keep such information, keep it strictly confidential, and protect users' personal information in accordance with law. Please refer to the Privacy Policy published by Canyam for details. Your use of Canyam means that you agree that we collect, use, store, and protect your personal information in accordance with the Privacy Policy.
- Without disclosing information about any individual user, we have the right to analyze and use the overall user database to improve service quality, enhance user experience, or conduct market research.
6. Intellectual Property Protection
- Canyam and all of its content, including but not limited to text, images, audio, video, software, trademarks, and logos, are protected by copyright, trademark, and other property ownership laws, and are owned by [Canyam operator name] or relevant right holders. You may use such content only after obtaining authorization from us or other relevant right holders. Unauthorized use, copying, distribution, modification, deletion, or other acts may constitute infringement, and we will pursue legal responsibility against infringers in accordance with law.
- For content uploaded or published by users during use of Canyam, users shall ensure that they have lawful rights to upload or publish such content and that such content does not infringe the intellectual property rights or other lawful rights and interests of any third party. You grant us a worldwide, royalty-free, sublicensable license to use, copy, modify, publish, distribute, and display the content you upload or publish within a reasonably necessary scope for the purpose of providing and improving services.
7. Service Changes, Interruption, and Termination
- We reserve the right to change, upgrade, modify, or transfer Canyam and its related functions at any time at our sole discretion, and we also reserve the right to develop new functions or services within Canyam. Unless otherwise stated, all such new functions and services shall still be governed by this Agreement.
- We will make efforts to maintain the normal operation of Canyam. However, force majeure, technical failures, legal and regulatory requirements, or other unforeseeable and uncontrollable reasons may cause service changes, interruption, or termination. In such cases, we will try to notify users in advance where possible, but advance notice may not be possible in emergencies. We shall not be liable for any losses caused to users due to service changes, interruption, or termination, unless otherwise provided by laws and regulations.
- If you violate any term of this Agreement, we have the right to unilaterally terminate the services provided to you without notice, and you shall bear the resulting risks and responsibilities. If losses are caused to us or any third party, you shall also bear compensation and other liabilities.
8. Limitation of Liability
- We shall not be liable for any direct, indirect, incidental, special, or consequential losses or damages arising from users' use of Canyam, including but not limited to losses caused by service interruption, data loss, information errors, virus infection, or similar reasons, even if we have been informed of the possibility of such losses or damages.
- In any case, our total liability to a user shall not exceed the total amount of service fees paid by that user on Canyam, if any.
9. Governing Law and Dispute Resolution
- The formation, performance, interpretation, and dispute resolution of this Agreement shall be governed by the laws of [specific applicable jurisdiction].
- If any dispute arises between the parties regarding the content or performance of this Agreement, the parties shall first resolve it through friendly negotiation. If negotiation fails, either party has the right to file a lawsuit with a court of competent jurisdiction.
10. Miscellaneous
- This Agreement constitutes the complete agreement between you and us regarding your use of Canyam and supersedes any previous agreements or understandings on the same subject.
- If any term of this Agreement is found to be invalid, illegal, or unenforceable, it shall not affect the validity, legality, and enforceability of the remaining terms.
- Our failure to exercise or enforce any right or term under this Agreement shall not constitute a waiver of such right or term.
